Condizioni Generali di Acquisto

  1. Applicazione

1.1. Le presenti Condizioni Generali di Acquisto si applicano ad ogni contratto stipulato tra VIST ITALIA SRL, con sede legale in FORO BUONAPARTE, 70 – 20121 MILANO - MI – ITALIA, e sede operativa in Via Morimondo, 23 – 20143 – MILANO - MI – ITALIA P.IVA IT11287460965 (l’ “Acquirente”) e il Fornitore, anche se effettuato in base ad ordini d’acquisto dell’Acquirente (il “Contratto”). Condizioni differenti dalle presenti, che vengano allegate, richiamate, aggiunte o modificate dal Fornitore, non avranno valore se non espressamente e specificatamente accettate, per iscritto, dall’Acquirente. L’Acquirente non è in alcun modo vincolato da, e qui espressamente rigetta, le condizioni generali di vendita del Fornitore, così come eventuali altri termini o condizioni apposte su qualsiasi proposta, quotazione, listino prezzi, conferma d’ordine, accettazione, fattura, imballaggio, corrispondenza o altra documentazione utilizzata dal Fornitore.

1.2. Ogni ordine implica il richiamo alle specifiche tecniche dell’Acquirente in vigore per i Prodotti oggetto dell’ordine. L’accettazione dell’ordine comporta quindi la piena ed incondizionata accettazione di tutte le specifiche tecniche che vengono pertanto a formare parte integrante del Contratto di vendita.

  1. Conferma d’ordine – Prezzi

2.1. Il Fornitore dovrà comunicare all’Acquirente l’accettazione dell’ordine inviandogli una copia firmata della conferma d’ordine ed il Contratto si intende concluso con il ricevimento di tale conferma d’ordine. In ogni caso, anche in assenza di conferma scritta, il Contratto si considera concluso – e sottoposto alle presenti Condizioni Generali – se, il Fornitore abbia dato corso alla fornitura.

2.2. I prezzi indicati o richiamati nell’ordine sono fissi e non soggetti a variazione alcuna; essi si intendono inclusivi del relativo imballo per la spedizione secondo le istruzioni dell’Acquirente.

2.3. Il Fornitore dovrà comunicare all’Acquirente, entro 15 giorni dal ricevimento del materiale destinato alla lavorazione, le eventuali difformità e/o mancanze dei materiali che non consentiranno di eseguire l’ordine oppure di eseguirlo parzialmente. In mancanza di tale comunicazione, le spese per il materiale non sufficiente e/o difforme dall’ordine sono a carico del Fornitore.

  1. Fatturazione

3.1. Le fatture relative ai Prodotti saranno emesse dal Fornitore con data non anteriore alla data di consegna dei relativi Prodotti e dovranno essere relative ad ogni singolo ordine; inoltre dovranno indicare il numero dell’ordine, il codice materiale, il numero di bolla di consegna, la quantità e la descrizione della merce, il prezzo unitario, il prezzo totale, l’IVA (se dovuta), il codice del Fornitore e l’origine della merce. In caso contrario l’Acquirente avrà il diritto di non accettare la consegna della merce.

3.2. Le fatture riguardanti forniture nelle quali siano stati riscontrati Prodotti non conformi non saranno poste in pagamento fino a quando tali Prodotti non saranno stati reintegrati.

3.3. Salvo ove diversamente previsto dall’ordine di acquisto o Contratto, il pagamento, condizionato all’accettazione dei Prodotti, sarà effettuato entro 90 (novanta) giorni dalla fine del mese di ricezione di regolare fattura emessa ai sensi dell’Articolo 3.1. che precede.

3.4. l’Acquirente avrà il diritto di compensare le somme dovute al Fornitore con le somme a qualunque titolo dovute dal Fornitore all’Acquirente, ai sensi del Contratto o di qualsiasi altro rapporto, siano tali somme esigibili oppure no al momento in cui si realizza la compensazione.

  1. Luogo, documenti e termini di consegna

4.1. Se non diversamente concordato per iscritto, tutti i Prodotti saranno consegnati con modalità DAP (Delivered at place) - INCOTERMS 2020, alle date di consegna specificate nell’ordine di acquisto o nel Contratto. I termini convenuti per la consegna sono tassativi. Sono perciò da escludersi, oltre a ritardi, anche le consegne anticipate rispetto alle date di consegna concordate, a meno che ciò non sia richiesto dall’Acquirente. Per data di consegna di intende la data di ricevimento della merce in magazzino dell’Acquirente.

4.2. I Prodotti dovranno essere accompagnati da documento di trasporto (uno per ciascun ordine), con l’indicazione dettagliata di: numero d’ordine, codice materiale e descrizione, unità di misura, quantità, numero di colli, numero di confezioni per articolo, peso, volume e origine della merce. Ove richiesto il Fornitore dovrà anche rilasciare una Dichiarazione di Conformità CE alle direttive e regolamenti applicabili ed eventuali certificati previsti dalla legge.

4.3. Fermo restando il diritto dell’Acquirente al risarcimento dei maggiori danni, nel caso in cui il Fornitore ritardi la consegna di qualunque unità di Prodotti rispetto alle date previste nell’ordine, l’Acquirente avrà il diritto di (a) addebitare al Fornitore una penale pari al 1% (uno per cento) del prezzo di acquisto dell’intero ordine di acquisto di Prodotti di cui fanno parte i Prodotti in ritardo, per ciascun giorno di ritardo di consegna, sino ad un massimo del 15% (quindici percento) di detto prezzo, ovvero, (b) di considerare risolto l’intero contratto o una parte dell’Ordine di Acquisto per inadempimento del Fornitore se il ritardo supererà i quindici (15) giorni, applicando in tal caso al Fornitore una penale pari al doppio del prezzo di acquisto dell’intero ordine (o della parte annullata), fermo restando il diritto dell’Acquirente al risarcimento dei maggiori danni.

4.4. L’Acquirente potrà rifiutare e rinviare al Fornitore, a spese del Fornitore stesso, qualsiasi unità di Prodotto consegnata in anticipo rispetto alla data di consegna specificata nell’ordine, come pure eventuali consegne parziali, dovendosi considerare tali Prodotti come non consegnati. Ove invece l’Acquirente decida di accettare la consegna anticipata o parziale, i termini di pagamento decorreranno comunque dalla data di consegna convenuta e solo dopo la consegna dei Prodotti mancanti.

4.5. Se richiesto, il Fornitore dovrà rilasciare la Dichiarazione di Conformità CE, a tutte le Direttive e ai Regolamenti applicabili in relazione ai Prodotti e che il Fornitore dichiara di conoscere e applicare.

  1. Imballi

5.1. Il Fornitore dovrà assicurare che gli imballi siano adatti ai Prodotti forniti e tali da garantire che gli stessi Prodotti arrivino integri presso il magazzino dell’Acquirente.

5.2. L’imballaggio dovrà essere chiuso con il sigillo personalizzato del Fornitore e  l’etichetta dovrà riportare: il nome del Fornitore, il peso netto della merce, la quantità e il numero colli, il codice del materiale dell’Acquirente e il numero di lotto produttivo, il numero di ordine dell’Acquirente.

  1. Accettazione della fornitura

6.1. Il Fornitore si impegna a fornire Prodotti eseguiti a perfetta regola d’arte, privi di difetti e perfettamente conformi alle specifiche tecniche e alla normativa applicabile vigente in Europa e in Italia per tali prodotti (per prodotti tessili e di abbigliamento, in particolare) e che il Fornitore dichiara di conoscere e applicare.

6.2. L’Acquirente ha il diritto di ispezionare i Prodotti ordinati e di respingere la merce viziata e/o non conforme e/o fornita in eccedenza e di restituirla a spese del Fornitore. I vizi e/o le non conformità riscontrate e/o le differenze quantitative tra quanto dichiarato dal Fornitore e quanto riscontrato dall’Acquirente saranno da questi comunicate al Fornitore; fermo che il termine per la denunzia al Fornitore di vizi e/o di non conformità dei Prodotti, sia palesi che occulti, sarà di 90 (novanta) giorni dalla loro scoperta, salvo che la legge preveda un termine maggiore.

6.3. Nel caso in cui i Prodotti viziati e/o non conformi siano consegnati, l’Acquirente potrà, a sua discrezione, richiedere (a) di ottenere  un rimborso del prezzo pagato per i Prodotti viziati e trattenerli e, nel caso i Prodotti viziati e/o non conformi superino il 5% della quantità totale che doveva essere consegnata, il Fornitore dovrà pagare una penale pari al 50% del prezzo dei prodotti viziati che superano il limite del 5%, (b) di rifiutare la consegna e richiedere una sostituzione gratuita dei Prodotti viziati con Prodotti conformi, senza alcun pregiudizio al diritto dell’Acquirente di risolvere il Contratto e richiedere il risarcimento dei danni.

6.4. Fatto salvo il diritto dell’Acquirente di risolvere in tutto o in parte il Contratto, in caso di mancata accettazione di Prodotti in quanto comunque viziati e/o non conformi, i lotti o le unità respinte dall’Acquirente saranno sostituiti a spese del Fornitore entro un termine ragionevole, e comunque non superiore a trenta (30) giorni dalla comunicazione di non accettazione dell’Acquirente e contestuale richiesta di sostituzione.

6.5. Qualora l’acquirente accetti i Prodotti e sui Prodotti viziati e/o non conformi si rendessero necessarie lavorazioni supplementari e/o l’utilizzo di manodopera onde permetterne l’impiego, saranno a carico del Fornitore tutti i relativi costi sostenuti dall’Acquirente.

  1. Garanzia

7.1. La garanzia prestata dal Fornitore ha una durata di ventiquattro (24) mesi dalla data di consegna dei Prodotti, salvo che la legge preveda un termine maggiore.

7.2. Il Fornitore effettuerà, nel corso del periodo di garanzia, a richiesta dell’Acquirente, la sostituzione o la riparazione gratuita dei Prodotti affetti da vizi o difetti presso l’Acquirente o presso il Cliente di questi.

7.3. Le unità sostituite o riparate beneficeranno dello stesso termine di garanzia dei Prodotti sostituiti o riparati.

7.4. Il Fornitore sopporterà tutti i costi di riparazione, sostituzione e trasporto dei Prodotti non accettati e rimborserà all’Acquirente tutti i costi e le spese (inclusi, senza limitazioni, i costi di verifica, di movimentazione e di stoccaggio) ragionevolmente sostenuti. Il rischio derivante dai Prodotti viziati e/o non conformi passerà in capo al Fornitore dal momento della avvenuta comunicazione della non conformità.

  1. Proprietà industriale e intellettuale

8.1. Il Fornitore garantisce che i Prodotti forniti non violano alcun brevetto, diritto d’autore o altro diritto di proprietà intellettuale o industriale di terzi e si impegna a tenere indenne, manlevare e risarcire l’Acquirente contro qualsiasi richiesta, domanda, danno o onere derivante da rivendicazioni di terzi.

8.2. Il Fornitore riconosce che le denominazioni, i segni distintivi e/o qualsiasi marchio utilizzati dall’Acquirente per distinguere i propri prodotti sono di proprietà esclusiva dell’Acquirente o di terzi e/o da questi utilizzati in base a titolo legittimo (“IP”). Pertanto, il Fornitore dovrà usare l’IP esclusivamente al fine di adempiere le obbligazioni nascenti dall’Ordine di Acquisto e rigorosamente nei modi (incluse le quantità) individuati nello stesso Ordine e  non potrà disporre e/o usare, in qualsiasi forma o maniera, l’IP, sia insieme che separatamente, dopo la risoluzione, per qualsiasi ragione, del rapporto contrattuale con l’Acquirente. Il Fornitore dovrà prontamente restituire o distruggere, dandone prova all’Acquirente, tutti i beni, le parti e le componenti e materiali recanti l’IP che fossero ancora in suo possesso dopo la risoluzione del rapporto contrattuale per qualsiasi ragione o, comunque, in ogni caso di richiesta dell’Acquirente. Nel caso in cui il Fornitore non rispetti tale clausola, l’Acquirente avrà il diritto di richiedere la confisca dei prodotti in violazione della presente (compresi i prodotti finiti e semi-finiti, al grezzo e componenti ausiliari) e il Fornitore dovrà pagare una penale pari al maggiore tra il prezzo totale dell’Ordine di Acquisto e 15.000 EUR.

  1. Documentazione

Il Fornitore dovrà conservare con scrupolosa attenzione e riservatezza la documentazione tecnica, i campioni e/o altro materiale ricevuto dall’Acquirente e a restituirli qualora l’Acquirente ne faccia richiesta. E’ fatto espresso divieto al Fornitore di utilizzare e riprodurre tali documenti e materiali per scopi diversi dal rapporto di fornitura vigente con l’Acquirente.

  1. Riservatezza

Tutte le informazioni e i dati che verranno a conoscenza del Fornitore, esclusi soltanto quelli che appartengono al pubblico dominio, sono da considerare soggetti all’obbligo di segretezza e riservatezza e, pertanto, il Fornitore si impegna a non divulgarli a terzi. Il Fornitore garantisce il rispetto di quanto sopra anche per i propri, amministratori, dipendenti, agenti, consulenti o ausiliari di ogni genere.

  1. Legge applicabile

L’ordine di acquisto, Il Contratto e le presenti Condizioni Generali di Acquisto saranno regolati e interpretati in base alla legge sostanziale dello Stato Italiano, con l’esclusione delle norme regolatrici dei conflitti tra leggi applicabili. 

  1. Arbitrato

Per ogni controversia comunque derivante o connessa all’ ordine di acquisto, al Contratto o alle presenti Condizioni Generali di Acquisto, ivi comprese quelle relative alla loro validità, efficacia, interpretazione, esecuzione o risoluzione, saranno risolte mediante arbitrato secondo il Regolamento della Camera Arbitrale di Milano, da tre (3) arbitri nominati in conformità a tale Regolamento. Il Tribunale Arbitrale giudicherà secondo la legge. La sede dell'arbitrato sarà Milano. La lingua dell'arbitrato sarà la lingua italiana. Per ogni controversia non arbitrabile, sarà competente in via esclusiva il Foro di Milano, con esclusione di ogni altro foro concorrente o alternativo.

Le presenti Condizioni Generali di Acquisto sono scritte in italiano ed in inglese, tuttavia la versione in italiano è prevalente.

General Conditions of Purchase

  1. Applicability

1.1. These General Conditions of Purchase apply to all contracts between the Supplier and VIST ITALIA SRL, with registered office at Foro Buonaparte, 70 – 20121 Milano – MI - ITALY, and administrative office at Via Morimondo, 23 – 20143 Caldaro - MILANO – ITALY P.IVA IT11287460965 (the “Purchaser”), although the contract is based on the Purchaser’s orders (the “Contract”). Conditions different from the present ones, attached hereto, referred to, added or amended by the Supplier shall not be applicable, unless expressly and specifically accepted, in writing, by the Purchaser. Purchaser is not bound by and hereby expressly rejects Supplier’s general conditions of sale and any additional or different terms or provisions that may appear on any proposal, quotation, price list, acknowledgment, invoice, packing slip or the like used by Supplier.

1.2. Every order involves reference to the Purchaser’s technical specifications in force for the Products included in the order. Acceptance of orders therefore require full unconditional acceptance of all the technical specifications which thereby become an integral part of the sales Contract.

  1. Order confirmation – Prices

2.1. The Supplier shall inform the Purchaser of acceptance of the order by sending him a signed copy of the order confirmation and the Contract shall be considered concluded on receipt of such confirmation of order. In any case, even in the absence of written confirmation the agreement shall be considered concluded – and subjected to these General Conditions – if the Supplier performs the order.

2.2. The prices indicated or referred to in the order are fixed and cannot undergo any variation; they include packing to the Purchaser’s instructions for dispatch.

2.3. The Supplier shall notify the Purchaser whitin 15 days from the recept of the materials to be used for processingthe prospective differences and/or any deficiencies thereof that dosen’t allow to execute the order or allow partial execution..In the absence of such communication, the costs for materials that is not sufficient and / or does not conform to the order shall be borne by the Supplier.

  1. Invoicing

3.1. Invoices relating to the Products shall be issued by the Supplier and dated not before the delivery of the relative Products. They shall refer to each individual order and indicate the order number, materials item code, delivery note number, the quantity and description of the goods, unit price, total price, VAT (if due), Supplier’s code and the origin of the goods. Otherwise the Purchaser shall have the right to refuse acceptance of the goods.

3.2. Payment arrangements for invoices involving supplies in which non-conforming Products have been found will not be made until such Products are replaced or repaired..

3.3. Subject to the acceptance of the Products, and unless provided otherwise in the purchase order or Contract, payment shall be made within ninety (90) days from the end of the month of the receipt of the correct invoice in accordance with above Article 3.1..

3.4. Purchaser shall at all times have the right to set-off any amounts that the Purchaser owes to Supplier with any amounts that Supplier owes to Purchaser, under the Contract or any other agreement whether or not these amounts are payable at the moment the set-off shall take place.

  1. Place, documents and terms of delivery

4.1. Unless expressly agreed otherwise in writing, all Products shall be delivered DAP (Delivered at place) INCOTERMS 2020, on the dates specified in the purchase order or in the Contract. Agreed delivery terms are mandatory. Therefore, not only delays are excluded, but also deliveries in advance of the agreed date, unless required by the Purchaser. The delivery date means the day when the goods arrive in the Purchaser’s warehouse.

4.2. The Products shall travel with a delivery note (one for each order) that shows details of the order number, materials item code and description, measuring unit, quantity, number of units, number of packages per article, weight, volume and origin of the goods. If required, the Supplier shall also issue a CE Declaration of Conformity to the applicable Directives and Regulations in force and other certificates possibly required by applicable law.

4.3 Notwithstanding the right of the Purchaser to compensation for additional damages, in the event that the Supplier delays the delivery of any amount of products with respect to the dates specified in the order, the Purchaser will have the right to (a) charge the Supplier a penalty of 1% (one percent) of the purchase price of the entire purchase Order of Products of which the late products are part, for every day of late delivery, up to a maximum of 15% (fifteen percent) of said price, or, (b) consider the entire agreement terminated or a portion of the purchase order due to Supplier's default should the delay exceed fifteen (15) days, applying in this case a penalty to the Supplier of twice the purchase price of the entire order (or of the cancelled portion), without prejudice to the right of Purchaser to compensation for further damages.

4.4. The Purchaser may refuse and return to  Supplier, at the Supplier’s expense, any Products delivered in advance of the delivery date endorsed on the order, as well as any partial delivery; such Products shall be considered not delivered. If the Purchaser decides to accept an early or partial delivery, the terms of payment shall in any case apply from the agreed delivery date and only after full delivery is of any missed Products is performed.

4.5. If required, the Supplier shall issue the EC Declaration of Conformity, to all the applicable Directives and Regulations concerning the Products which the Supplier declares to know and to which it shall comply.

  1. Packing

5.1. The Supplier shall assure that the packaging is suitable for the supplied Products and such to guarantee that the Products arrive integral at the warehouse of the Purchaser.

5.2. Packing shall be closed by the Supplier’s personalized seal and the label  shall indicate: the Supplier’s name, net weight of the goods, quantity and number of packages, Purchaser’s materials item code, production batch number and the number of the purchase order of the Purchaser.

  1. Supply acceptance

6.1. The Supplier undertakes to supply Products made in a workmanlike manner, without any defects and fully conforming to the technical specifications and applicable current EU and Italian regulations (notably; for textile and apparel Products), which the Supplier declares to know and to which it shall comply.

6.2. The Purchaser is entitled to inspect the Products ordered and refuse to accept goods that are defective and/or do not conform and/or are supplied in excess number, returning them at Supplier’s costs. Any Defects and/or non-conformities and/or the differences in quantity between what the Supplier declares and what the Purchaser receives shall be communicated to the Supplier, provided however that the term to present any claims based upon Products defectiveness and/or non-conformity, whether patent or latent, shall be 90 (ninety) days from the discovery, unless applicable law provides for a longer term.6.3. In the event defective and/or non-conforming Products are delivered, Purchaser shall be entitled to require, at its discretion, (a) to obtain reimbursement of the price paid for such defective products, while retaining the products, and, in case the defective and/or non conforming products, exceed 5% of the quantities to be delivered, Supplier shall pay a penalty equal to 50% of the purchase price of the defective products exceeding such 5%, (b) to refuse the delivery and request free replacement of the faulty Products with conforming ones, in any case without prejudice to Purchaser’s right to terminate the Contract and seek for damages compensation.

6.4. Subject to the Purchaser’s right to cancel the whole Contract or part of it if Products are not accepted because of their defectiveness and/or non-conformity, the batches or units refused by the Purchaser shall be replaced at the Supplier’s cost within a reasonable term, provided that in any case such term cannot be longer than thirty  (30) days of the Purchaser’s communication of non-acceptance together with a request for replacement.

6.5. If the non-conforming Products need extra machining and/or employment of labour to make them usable, all the relevant costs borne by the Purchaser shall be paid by the Supplier.

  1. Warranty

7.1. The warranty issued by the Supplier is valid for twenty-four (24) months from the date of consignment of the Products, unless applicable law provides for a longer term.

7.2. During the warranty period, at the request of the Purchaser, the Supplier shall replace or repair faulty Products free of charge on the Purchaser’s premises or at its Customer’s facilities.

7.3. The replaced or repaired units shall benefit from the same warranty terms applied to the replaced or repaired Products.

7.4. Supplier shall bear all cost of repair, replacement and transportation of the nonconforming Products, and shall reimburse Purchaser in respect of all costs and expenses (including, without limitation, inspection, handling and storage costs) reasonably incurred by Purchaser in connection therewith. Risk in relation to the defective and/or nonconforming Products shall pass to Supplier upon the date of notification thereof.

  1. Industrial and intellectual property

8.1. The Supplier guarantees that the Products supplied do not violate any patents, copyrights or other industrial or intellectual property rights of third parties and undertakes to indemnify, hold harmless and compensate the Purchaser against any applications, demands, damages or costs deriving from claims by third parties.

8.2. Supplier acknowledges that denominations, trade-names and/or any trademarks used by Purchaser to distinguish its products are Purchaser’s and/or a third party exclusive property and/or used by them on the basis of a legal title (“IP”). Consequently, Supplier shall use such IP exclusively for the purpose of fulfilling its obbligations under the purchase order and strinctly within the terms (including quantities) of such purchase order and shall not make provisions for and/or use, in any form or manner, such IP, whether combined or separated, after termination of the Contract for any reason whatsoever. Supplier shall  promptly return or destroy and provide Purchaser with relative proof of such destruction, all the goods, parts, component or materials marked with the IP, that are still in its possession after the termination of the contractual relationship for any reason whatsoever, as well as in any event the Purchaser requests so. In the event of breach of this clause by Supplier, Purchaser shall be entitled to require confiscation of relevant infringing products (including finished or semi-finished products and raw and auxiliary materials), and Supplier shall pay a penalty based on the higher of the total amount of the purchase order and 15.000 EUR.

  1. Documentation

The Supplier shall exercise great care and confidentiality in keeping the drawings, samples and all other documents and/or materials received from the Purchaser, and shall return them whenever the Purchaser requires them. It is expressly prohibited for the Supplier to use and reproduce such documents and materials for purposes different from the Supplier relationship with the Purchaser.

  1. Confidentiality

All information and data that comes to the notice of the Supplier, excluding only those of public domain, are to be considered reserved and confidential and the Supplier shall therefore undertake not to disclose them to third parties. Supplier shall cause its officers, employees, agents, consultants or auxiliary personnel whatsoever.

  1. Applicable law

The purchase order, the Contract and this General Conditions of Purchase shall be governed by and construed in accordance with the substantial laws of the Republic of Italy with exclusion of its principles regulating conflicts of laws. 

  1. Arbitration

All disputes arising from the purchase order and/or Agreement and/or this General Conditions of Purchase or in relation to the same, including those relating to their validity, effectiveness, interpretation, performance or termination, shall be settled by arbitration under the Rules of the Milan Chamber of Arbitration, by three (3) arbitrators appointed in accordance with said Rules. The Arbitration Tribunal shall decide in accordance with the rules of law. The arbitration shall take place in Milan. The Arbitration will be conducted in the Italian language. Any dispute over which the Arbitration Tribunal cannot rule will be referred exclusively to the Court of Milan to the exclusion of any other competing or alternative court.
